General Terms and Conditions
for vehicle sales, net deliveries, and exports
1 General
These terms apply to the sale of used vehicles, damaged vehicles, accident-damaged vehicles, and vehicles intended for export.
We distinguish between commercial and private buyers.
A commercial buyer is a person or company that purchases a vehicle as part of their commercial or professional activity.
A private buyer is a natural person who purchases a vehicle primarily for private purposes.
We sell complete and undamaged vehicles exclusively to commercial buyers, such as car dealers, companies, and other professional purchasers.
We sell only damaged vehicles, accident-damaged vehicles, and/or vehicles offered as repair projects to private buyers.
We do not make any distinctions based on the nationality or place of residence of the buyer.
A. Net sale
2 Requirements for net sales
The fact that a vehicle is intended for export or that the buyer is a foreign company does not automatically mean that the vehicle can be purchased without German VAT.
A vehicle is only supplied without German VAT if all applicable legal and tax requirements are met. We verify this individually for every sale.
A note such as "net price possible," "export possible," or a comparable statement does not automatically entitle the buyer to a sale without German VAT.
In this regard, we verify in particular:
- the identity of the buyer;
- the company details of the buyer;
- information from the commercial register;
- the VAT identification number;
- the identity of the owner or representative of the company;
- the authority of the person signing on behalf of the company;
- the country and address of the destination;
- the method of vehicle transport;
- the origin and completeness of the payment;
- as well as other information and documents required for tax processing.
If it cannot be sufficiently proven that the requirements for a VAT-free delivery are met, the vehicle will not be supplied net. In this case, we may charge German VAT or require a security deposit in the amount of the potential German VAT.
B. Export to countries outside the European Union
3 Export to a country outside the EU
When selling a vehicle for export to a country outside the European Union, we will obtain the agreed-upon German customs documents for the export.
The buyer is obligated to provide all information and documents that we require for this purpose, completely, correctly, and in a timely manner.
The buyer is responsible for ensuring that the vehicle is actually and properly exported from the European Union.
Picking up the vehicle or transporting it abroad is not, in itself, sufficient proof that the vehicle has actually left the European Union.
The export must be carried out in accordance with applicable customs regulations and must be properly registered.
4 150-day period
A period of a maximum of 150 days applies to the export procedure carried out by us.
The vehicle must be demonstrably transported out of the European Union and the export procedure must be properly completed within this period.
The buyer is responsible for the timely export of the vehicle. This also applies if the buyer uses a carrier, freight forwarder, or other third party for transport.
Delays caused by a carrier, freight forwarder, port, border crossing, customs authority, or any other party do not automatically extend the 150-day period.
If the buyer anticipates that the export cannot be completed within the period, they must inform us immediately.
5 Customs documents and proof of export
We will provide the customs documents agreed upon for the respective sale.
The buyer is required to provide us with all requested information completely and truthfully for this purpose.
The buyer is responsible for properly presenting the vehicle to the relevant customs authorities and correctly completing the export procedure.
For us, the export is only considered sufficiently proven once we have received documentation accepted by customs, confirming that the vehicle in question has actually left the European Union.
This proof must be clearly attributable to the sold vehicle and the specific sale.
6 VAT deposit for export outside the EU
When selling a vehicle for export to a country outside the European Union, we may require a deposit in the amount of the German VAT that would be owed if the export cannot be properly proven.
This VAT deposit serves as security for the tax risk that we bear as the seller.
The deposit will be refunded when:
- it is proven that the vehicle was removed from the European Union within the agreed period;
- the export procedure has been properly completed;
- we have received the required proof of export from customs;
- the proof can be clearly assigned to the relevant vehicle and sale;
- and all other legal requirements for a VAT-exempt export are met.
If it is not proven that the vehicle was removed from the European Union within the maximum period of 150 days, the VAT deposit cannot be refunded as long as it has not been sufficiently proven that the legal requirements for VAT-exempt export are met.
If German VAT is owed due to a lack of sufficient evidence, we are permitted to offset the VAT owed against the paid deposit.
A verbal or written declaration by the buyer that the vehicle has been exported is not sufficient in itself.
7 Export with a vehicle driven by the buyer
If the vehicle is driven under its own power to a country outside the European Union, the export must be carried out in such a way that it can be proven in accordance with the applicable customs and tax regulations.
If a German export license plate is used for the export, the required details must be correctly included in the export documents.
A temporary license plate, dealer plate, or other license plate is not, in itself, sufficient proof that the vehicle has actually been exported outside the European Union.
The buyer remains responsible for the correct and timely completion of the export procedure.
C. Net deliveries within the European Union
8 Commercial sale within the EU without German VAT
A vehicle can be delivered to a commercial buyer in another EU Member State without German VAT if all legal requirements for an intra-Community delivery are met.
The buyer must, among other things, have a valid VAT identification number from another EU Member State and use this number for the relevant purchase.
Furthermore, the vehicle must actually be transported to another EU Member State, and this must be sufficiently provable.
For this purpose, we require in particular:
- company name and registered address;
- company registration;
- VAT identification number;
- identity of the buyer;
- identity of the owner or representative;
- authority to sign for the company;
- address and country of destination;
- method of transport;
- payment;
- and other documents required to prove the VAT-exempt delivery.
If information or documents are missing, do not match, or cannot be sufficiently verified, the vehicle will not be delivered without German VAT.
9 Identity and authorization to sign
For a net sale within the European Union, it must be clear before collection who is authorized on behalf of the purchasing company to sign the contract and the required declarations.
The declaration required by us must be signed by the owner of the company, the legal representative, or another person who has demonstrably been authorized to sign for the company.
The details of this person must match the valid passport or ID card presented to us.
If a person other than the owner or legal representative signs, we may request proof that this person is authorized to act on behalf of the company.
If personal data, company data, signatures, or other details do not match, the vehicle will not be released until the situation has been sufficiently clarified.
As long as we have not fully received and verified the required declaration, proof of identity, and, if applicable, proof of authorization to sign, the vehicle cannot be collected.
This also applies if the full purchase price has already been paid.
10 Proof of arrival
For VAT-exempt deliveries within the European Union, a proof of arrival (Gelangensbestätigung) can be used as evidence that the vehicle has actually arrived in the other EU Member State.
This confirmation must be provided to us in full and correctly after the vehicle has arrived.
The confirmation must clearly state which buyer, which sale, and which vehicle it refers to. The Vehicle Identification Number (VIN) must be stated correctly.
The buyer is obliged to transmit the required evidence to us in a timely manner after arrival.
The proof of arrival, which confirms the actual arrival of the vehicle, is not the same as the declaration that we may require before the vehicle is collected.
D. Payment and collection
11 Full payment before collection
A vehicle will only be released after the entire amount owed has been paid.
The amount owed includes, in particular:
- the full purchase price;
- any VAT deposit;
- agreed costs for customs documents;
- any administrative costs;
- and other pre-agreed amounts.
If the buyer transfers the purchase price in several individual amounts, all payments must be traceable by us and assignable to the relevant vehicle.
It does not matter how many individual payments make up the total purchase price.
For example, if eight individual payments were made for a vehicle, all eight payments must be verifiable by us and must together correspond to the full amount owed.
The buyer must be able to provide proof of all individual payments upon request at the time of collection.
12 When is a payment considered received?
A screenshot, payment order, transfer receipt, or confirmation in a banking app is not, in itself, proof that we have actually received the amount.
A payment is only considered received once the amount has actually been credited to our bank account without reservation and we are able to assign the payment to the relevant purchase.
If the purchase price is paid in several parts, the vehicle will only be released after all payments have been received and verified.
If it cannot be determined at the time of collection that the full amount owed has been received, the vehicle will not be released.
13 Payments by other persons or companies
Payments must generally originate from the person or company named as the buyer in the purchase agreement and on the invoice.
If the purchase price is paid in whole or in part by another person, we may request additional information and documentation.
In particular, we may request details regarding:
- the identity of the person or company that made the payment;
- the relationship between this person or company and the buyer;
- the reason why a third party is making the payment;
- and the purchase for which the payment is intended.
We may refuse a payment by a third party if it is not sufficiently clear who the payment is from or why this payment is being made on behalf of the buyer.
A payment by a third party does not make this third party the buyer or owner of the vehicle.
14 Requirements for the release of a vehicle
A vehicle will only be released once all requirements applicable to the respective sale have been met.
This includes, in particular, that:
- full payment has been received by us;
- all individual partial payments have been verified;
- any VAT deposit has been paid;
- all required documents have been received;
- the identity of the buyer and/or representative has been verified;
- the authority of a representative to sign on behalf of the company has been sufficiently proven;
- the required company and VAT data have been verified;
- all declarations required prior to collection have been signed;
- the necessary customs or export documents have been arranged;
- and the sale has been administratively approved by us.
As long as not all requirements are met, the vehicle will not be released.
This also applies if the purchase price has already been paid in full.
E. VAT status of the vehicle
15 Vehicles with deductible VAT
If a vehicle is indicated as having VAT that can be shown separately (VAT deductible), this means that German VAT can be shown separately on the invoice for a standard domestic sale.
This does not automatically mean that a foreign buyer can purchase the vehicle without German VAT.
Whether a net delivery is possible depends on the buyer, the destination of the vehicle, and the applicable tax regulations.
16 Vehicles subject to margin scheme taxation
For vehicles subject to the German margin scheme (differential taxation), VAT is not shown separately on the invoice.
Therefore, for such a vehicle, the buyer cannot calculate and reclaim German VAT from the advertised or agreed sales price.
The tax treatment of a vehicle under the margin scheme when sold to another EU member state or exported to a country outside the European Union is governed by the applicable legal regulations.
The VAT status indicated for the respective vehicle is therefore decisive for tax processing.
F. Sales to commercial buyers
17 Inspection of the vehicle
Before concluding the purchase contract, the buyer is given the opportunity to inspect and examine the vehicle or have it examined by an expert.
The buyer is responsible for assessing the technical and external condition of the vehicle themselves.
Damages, defects, and special features known to us are, as far as possible, stated in the advertisement, the vehicle description, and/or the purchase contract.
18 Liability for defects in commercial sales
When selling a used vehicle to a commercial buyer, statutory liability for defects is excluded to the extent permitted under German law.
The vehicle is sold in the condition it is in at the time the purchase contract is concluded, taking into account the characteristics, damages, and defects expressly agreed upon with the buyer.
This applies in particular if the vehicle is sold as:
- a damaged vehicle;
- an accident vehicle;
- a repair project;
- a trade vehicle;
- or an export vehicle.
The commercial buyer is given the opportunity before purchase to inspect the vehicle themselves or have it inspected by an expert.
The exclusion of liability does not apply in cases where liability cannot be excluded by law. This applies, among other things, if we have maliciously concealed a defect or have expressly provided a guarantee for a specific characteristic.
19 Unknown previous damages and repairs
Used vehicles may have undergone repairs, damage repairs, bodywork, welding, parts replacement, or paintwork in the past of which we have no knowledge.
Insofar as such previous damages or work are not known to us and we have not made any express commitment regarding them, we provide no guarantee when selling to a commercial buyer that the vehicle is completely free of previous unknown damages, repairs, or paintwork.
Damages and previous repairs of which we are aware are not intentionally concealed.
G. Sales to private buyers
20 Only damaged vehicles for private individuals
We sell only damaged vehicles, accident vehicles, and/or vehicles offered as repair projects to private buyers.
Complete and undamaged vehicles are sold exclusively to commercial buyers.
This rule applies to all private buyers, regardless of nationality or place of residence.
The damages and defects known to us are recorded as clearly and specifically as possible in the vehicle description and/or the purchase contract.
21 Inspection of a damaged vehicle
Before concluding the purchase contract, a private buyer is given the opportunity to inspect the vehicle in detail and/or have it examined by an independent expert.
We expressly recommend that the buyer take advantage of this opportunity.
A damaged vehicle may, in particular:
- not be roadworthy;
- not be safe for road use;
- not be technically reliable;
- not be immediately suitable for use in public road traffic;
- and may require repair and inspection first.
To the extent that these circumstances are known to us, they will be stated at the time of sale.
The buyer is responsible for ensuring that the necessary repairs and inspections are carried out before the vehicle is put into use after the repair.
22 Known damages and agreed condition of the vehicle
The mere designation as a "damaged vehicle," "accident vehicle," or "repair project" does not mean that the buyer automatically accepts every possible defect.
Therefore, the damages and deviations known to us are described as specifically as possible.
As required by law, a private buyer will be informed separately before the conclusion of the purchase contract about any deviations from the condition that can normally be expected for such a vehicle.
These deviations are then expressly recorded in the purchase contract.
23 Statutory rights of private buyers
Statutory rights that cannot be excluded under applicable consumer law remain in effect.
A general statement such as "without warranty" does not mean that all of the buyer's statutory rights are waived when selling to a private buyer.
For a used vehicle, the statutory period for asserting certain rights due to defects may be reduced to one year, provided the legal requirements are met.
Such a reduction will only be made if the buyer is specifically informed about it before the purchase contract is concluded and gives their express and separate consent.
H. Warranty
24 No additional warranty
Unless we expressly agree otherwise in writing, we do not provide any additional voluntary warranty for the vehicle.
A voluntary warranty and statutory liability for defects are two different things.
Therefore, the fact that we do not provide an additional warranty does not mean that statutory rights that cannot be excluded are waived.
If we expressly provide a warranty for a specific vehicle or a specific feature, only the conditions agreed upon for that specific warranty shall apply.
I. Import and registration in the country of destination
25 Taxes and other costs in the country of destination
Any import duties, import VAT, taxes, registration costs, inspection costs, transport costs, customs costs, and other costs incurred in the country of destination are to be borne by the buyer, unless we have agreed otherwise in writing in advance.
The buyer is responsible for complying with the regulations applicable in the country of destination, in particular regarding:
- import;
- customs;
- taxes;
- registration;
- technical requirements;
- environmental requirements;
- inspections;
- and approval for public road use.
26 Registration of the vehicle abroad
We do not guarantee that a vehicle can be registered, inspected, or approved for public road use in a specific country, unless we have expressly agreed to this in writing.
The buyer is responsible for checking the requirements applicable in the country of destination in advance.
J. Buyer obligations and control
27 Obligation to provide correct information
The buyer is obligated to provide all information and documents necessary for the sale, payment, tax processing, VAT exemption, export, and customs clearance in a complete, correct, and truthful manner.
The buyer is responsible for the accuracy and completeness of the information and documents they submit to us.
If we incur additional taxes, duties, costs, or damages due to incorrect information, missing documents, or the improper execution of the agreed procedure, we reserve our legal rights to assert these claims against the buyer.
28 Verification of information and documents
We reserve the right to verify the information and documents relevant to the respective sale before releasing a vehicle.
This includes, in particular:
- passport or ID card;
- company details;
- commercial register entry;
- authority to sign on behalf of a company;
- VAT identification number;
- payment details;
- incoming bank transfers;
- proof of payment for individual partial payments;
- customs and export documents;
- transport documents;
- and other documents required for the respective sale.
If documents are missing, incomplete, or if information does not match, the vehicle will not be released until the situation has been sufficiently clarified.
K. Purchase contract
29 Agreements regarding the specific vehicle
The specific agreements regarding the sold vehicle are recorded in the purchase contract, the invoice, and/or the vehicle description.
In particular, the following are recorded:
- make and model;
- vehicle identification number (VIN/chassis number);
- mileage;
- purchase price;
- VAT status;
- known damage;
- known technical defects;
- status as a damaged or accident vehicle;
- any VAT deposit;
- costs for customs documents;
- method of delivery or collection;
- and other individual agreements.
Individual agreements that we expressly make with the buyer take precedence over conflicting provisions in these General Terms and Conditions, to the extent permitted by law.
30 Summary: When is a vehicle released?
A vehicle will only be released once all requirements applicable to the respective sale have been met.
This means, in particular, that:
- the full purchase price has been received by us;
- any partial payments have been verified and allocated to the purchase;
- any VAT deposit has been paid in full;
- the identity of the buyer and/or representative has been verified;
- proof of authority to sign on behalf of the company has been provided, if required;
- the necessary company and VAT data have been verified;
- all documents and declarations required prior to collection are correctly available and signed;
- the necessary customs and export documents have been arranged;
- any other documents required for the respective sale have been received;
- and we have administratively approved the sale.
The fact that a vehicle has been paid for in whole or in part does not mean that it may be taken automatically.
As long as all requirements for release have not been met, the vehicle will remain in our possession.
